Terms of Service

1. Acceptance of Terms

By accessing or using NatePay ("Nate," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

These terms apply to all users, including creators who receive payments and subscribers who make payments through our platform.

2. Description of Service

Nate is a payment platform that enables:

• Creators to accept recurring and one-time payments from clients globally.
• Automatic currency conversion and local bank payouts.
• Generation of income verification documents and pay stubs.
• Subscription management and billing automation.

We act as a technology platform connecting payment processors (Stripe, Paystack) with users. We are not a bank or financial institution.

3. Eligibility

To use Nate, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into binding contracts.
• Reside in a country where our services are available.
• Provide accurate and complete registration information.
• Complete identity verification as required.

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized access.

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

5. Fees and Payments

5.1 Platform Fee

Nate charges a flat fee of 4% on all transactions processed through the platform. This fee covers payment processing, currency conversion, and local bank payouts.

5.2 Payout Schedule

Payouts are processed automatically to your registered bank account. Settlement times vary by region:

• Nigeria: T+1 (next business day)
• Kenya: T+1 to T+2
• South Africa: T+1 to T+2

5.3 Currency Conversion

When subscribers pay in foreign currencies, we convert funds to your local currency at prevailing market rates. No additional FX markup is applied beyond the 4% platform fee.

5.4 Refunds and Chargebacks

If a subscriber disputes a charge or requests a refund, you are responsible for the refunded amount. We may deduct disputed amounts from future payouts.

6. Acceptable Use

You agree not to use Nate for:

• Illegal activities or transactions.
• Fraudulent or deceptive practices.
• Sale of prohibited items (weapons, drugs, counterfeit goods).
• Adult content or services (unless in permitted categories).
• Gambling or lottery services.
• Money laundering or terrorist financing.
• Violation of intellectual property rights.
• Harassment, abuse, or harm to others.

We reserve the right to refuse service and terminate accounts engaged in prohibited activities.

7. Creator Responsibilities

As a creator using Nate, you agree to:

• Provide accurate descriptions of your services.
• Deliver the services or products you advertise.
• Respond to subscriber inquiries in a timely manner.
• Comply with all applicable laws and regulations.
• Maintain accurate tax records and report income as required.
• Not misrepresent your identity or qualifications.

8. Subscriber Terms

By subscribing to a creator through Nate:

• You authorize recurring charges to your payment method.
• You can cancel subscriptions at any time through your account.
• Cancellation takes effect at the end of the current billing period.
• Refund policies are set by individual creators.

9. Income Verification Documents

Nate generates income verification documents (pay stubs, income statements) based on actual transactions processed through our platform. These documents:

• Reflect only income received through Nate.
• Are generated automatically and cannot be manually altered.
• Include verification IDs that third parties can validate.
• Are provided as a convenience and not as legal or financial advice.

10. Intellectual Property

The Nate platform, including its design, logos, and technology, is owned by NatePay Inc. You may not copy, modify, or distribute our intellectual property without permission.

You retain ownership of content you create and share through the platform. By using Nate, you grant us a limited license to display and process your content as needed to provide services.

11. Limitation of Liability

To the maximum extent permitted by law:

• Nate is provided "as is" without warranties of any kind.
• We are not liable for indirect, incidental, or consequential damages.
• Our total liability is limited to fees paid in the 12 months preceding the claim.
• We are not responsible for actions of payment processors or banks.

12. Indemnification

You agree to indemnify and hold harmless NatePay, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the platform or violation of these terms.

13. Dispute Resolution

Any disputes arising from these terms or your use of Nate shall be resolved through binding arbitration in Delaware, except where prohibited by law. You waive the right to participate in class action lawsuits.

14. Modifications to Service

We may modify, suspend, or discontinue any part of Nate at any time. We will provide reasonable notice of material changes. Continued use after changes constitutes acceptance.

15. Termination

You may close your account at any time. We may terminate or suspend your account for violation of these terms, fraudulent activity, or at our discretion with notice.

Upon termination, outstanding payouts will be processed according to normal schedules, minus any amounts owed for chargebacks or fees.

16. Governing Law

These terms are governed by the laws of Delaware, without regard to conflict of law principles. For users in other jurisdictions, local consumer protection laws may apply.
